Conditions for using Nonprofit IT Solutions' website and services

These Terms will remain in full force and effect while you use our Site or Services. We may terminate or suspend your access to our Site or Services immediately, without prior notice or liability, for any reason, including, without limitation, if you breach these Terms.
Upon termination, your right to use the Site and Services will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including, without limitation, ownership provisions, warranty disclaimers, indemnification, and limitations of liability.
These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law provisions. Any legal action or proceeding arising out of these Terms or your use of our Site or Services shall be brought exclusively in the courts located in Toronto, Ontario, and you consent to the personal jurisdiction of such courts.
Any dispute arising from or relating to these Terms or your use of our Site or Services shall first be attempted to be resolved through good faith negotiations. If the dispute cannot be resolved through negotiations, either party may initiate legal proceedings as provided above.
If any provision of these Terms is held to be invalid, illegal, or unenforceable, such provision shall be deemed modified to the minimum extent necessary to make it valid, legal, and enforceable, and the validity, legality, and enforceability of the remaining provisions shall not be affected.
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. No waiver of any provision shall be deemed a further or continuing waiver of such provision or any other provision.
These Terms, together with our Privacy Policy and any service-specific terms, constitute the entire agreement between you and Nonprofit IT Solutions regarding our Site and Services and supersede any prior or contemporaneous agreements, communications, or proposals, whether oral or written, between you and us.
